Fieldfisher advises Nuremberg Institute for Market Decisions on the IPO of NIQ on the NYSE
Hamburg, 24 July 2025 – A European team from the international law firm Fieldfisher provided legal advice to the Nuremberg Institute for Market Decisions (NIM) on the roll-up of shares in a Dutch investment company to an Irish issuer which listed shares on the New York Stock Exchange in the United States on 23 July 2025. This marks the culmination of Fieldfisher's successful advice to NIM since 2016, adding an international capital markets dimension to the relationship.
NIM is a non-profit research institute at the intersection between science and practice. It investigates how consumer decisions are changing in response to new technologies, social trends or the application of behavioural science. NIM also examine what micro- and macroeconomic effects this has on the market and society. By deepening our understanding of consumer decisions and their effects, NIM supports businesses, policymakers, and consumers in making informed decisions that align with the principles of a social-ecological market economy and promote "prosperity for all".
Fieldfisher has been advising NIM since 2016, when NIM transferred its majority stake in GfK to a partnership with US financial investor KKR following a rigorous bidder selection process. Fieldfisher supported NIM over the following years, including during KKR's takeover bid, the subsequent squeeze-out at GfK, and its delisting and reorganisation. The collaboration between NIM and KKR ultimately led to a strategic merger of GfK with NielsenIQ (NIQ) in 2023, combining their complementary strengths to form a leading global consumer intelligence company. This created a leading global consumer intelligence company in which NIM has been a significant anchor shareholder in the combined company since the merger of NIQ and GfK.
For the US IPO of the Irish issuer of NIQ Group, NIM was involved in extensive corporate restructuring steps in the Netherlands and Ireland. These complex steps were successfully supported by Fieldfisher, leveraging its strong European presence.
The NIM committees were advised in Germany by Düsseldorf partner Dr Susanne Rückert and Senior Associate Julia Schmitz, together with the Fieldfisher offices in Dublin and Amsterdam, and were supported by capital markets advice from Rothschild & Co., tax advice from Ernst & Young and the US law firm Baker & Hostetler LLP.
